The short version
Restaurants use DataRestro to run their business and stay in charge of it: their menu, prices, allergens, tax settings, guests and data are theirs. We keep the software running, look after the data, and let them take it with them if they leave.
Payments go from guests through providers such as Khalti, eSewa, Fonepay or Stripe straight to the restaurant. We record them; we never hold the money or see card numbers. DataRestro is not yet IRD-certified billing software, and we say so plainly.
If we materially change these terms, owners get notice and are asked to accept the new version. If you are a guest, your order is with the restaurant, and the total you confirm is the total you pay.
This summary helps you read the document; it does not replace it.
1.About these terms
These Terms of Service (the “Terms”) govern the use of DataRestro, a restaurant operating system that includes point of sale, kitchen display, tables and reservations, inventory, purchasing, online and QR table ordering, restaurant websites, loyalty, invoicing and reporting (together, the “Service”). The Service is provided by Data Doodles Tech Private Limited, Baluwatar-3, Kathmandu, Nepal, which operates DataRestro (“DataRestro”, “we”, “us”).
A business (“you”) is the organisation that opens a DataRestro account, together with every restaurant brand and branch it runs on it. The agreement between you and us is made up of:
- these Terms;
- the Subscription and Billing Terms, which cover trials, fees, renewals, suspension for non-payment and cancellation;
- the Acceptable Use Policy;
- the Data Processing Addendum, which governs the personal data of your guests and staff that we process for you; and
- any order form or other written agreement you have signed with us.
If they conflict, a signed order form or written agreement wins, then the Data Processing Addendum on matters of personal data, then these Terms, then the other documents. Our Privacy Policy and Cookie Notice explain how we handle personal data; they are notices, not contract terms.
2.Accepting these terms
You accept these Terms by ticking the agreement box when you create a business at sign-up, when you activate an account we set up for you, or when you accept an updated version inside DataRestro. We record which version you accepted, when, and from which account. Reading this page, or browsing our website, is not acceptance.
The person who accepts must be at least 18 years old and authorised to bind the business. If you accept on behalf of a company or other organisation, you confirm that you have that authority.
If you only browse datarestro.com or try the in-browser demo, sections 13 (third-party services), 14 (intellectual property), 15 (disclaimers), 16 (liability) and 20 (law and disputes) apply to that use.
3.Accounts, owners and staff
The account owner decides who else can use the account (your authorised users, such as managers, cashiers, waiters and kitchen staff) and what each role may do. You are responsible for everything done under your account, including by people you invite, and a breach of these Terms by an authorised user is a breach by you.
- Give each person their own sign-in or PIN. Logins and PINs must not be shared.
- Keep passwords and PINs confidential, and remove access promptly when someone leaves.
- Keep the business details you give us (legal name, PAN or VAT number, addresses and contacts) accurate.
- Tell us promptly at support@datadoodlestech.com, or through Support in the console, if you believe your account has been used without permission.
4.The Service and how it changes
While your account is active we grant you a limited, non-exclusive, non-transferable right for your authorised users to use the Service for your own restaurant business, in line with these Terms and the plan you are on.
We keep improving the Service and may add, change or retire features. If we remove a feature your business actively relies on, we will give reasonable notice where we can and help you move to an alternative. Features described on our website as planned or in development are not part of the Service until they are released.
The live demo at /demo runs entirely in your browser with sample data. Nothing you do there creates orders, records or invoices for a real restaurant.
5.What you are responsible for
The Service is a tool. You decide what goes into it and remain responsible for how your business is run, including:
- your menu, descriptions, photographs, prices, offers and availability, including what guests see online;
- allergen, dietary and ingredient information, which the Service displays exactly as you enter it;
- your tax settings (VAT rate, service charge, tax-inclusive or exclusive pricing, invoice series) and filing and paying your own taxes;
- your legal obligations as a business, including consumer protection, food safety, licensing, employment and record-keeping law;
- having a lawful basis for the guest and staff data you put into the Service, and giving guests and staff the notices the law requires (see the Data Processing Addendum);
- the security of the devices, networks and accounts you use to reach the Service, including point-of-sale terminals, printers and card terminals.
6.Invoices, tax and IRD
DataRestro produces VAT and PAN invoices and keeps sales records in a form designed around the billing rules published by Nepal’s Inland Revenue Department (IRD). DataRestro is not currently approved or listed by the IRD as certified billing software. If the law requires your business to use IRD-approved billing software, you must continue to do so until we announce approval.
If you enable reporting to the IRD’s Central Billing Monitoring System (CBMS), you give us your CBMS credentials and instruct us to send each invoice’s details, including the buyer’s name and PAN where you record them, to the IRD on your behalf. We store those credentials encrypted.
Issued invoices are not edited or deleted. Corrections are made with credit notes and voids that stay on the record, so the audit trail remains complete. Outside Nepal, you are responsible for confirming that your currency, tax and invoice settings meet local rules.
7.Payments from guests
DataRestro records payments; it does not hold funds. Cash, card-terminal and wallet payments taken at the counter are recorded by your staff. Online payments by guests are processed by providers you connect with your own merchant credentials, such as Khalti, eSewa, Fonepay or Stripe.
- Money moves between the guest, the provider and your merchant account. We never receive or hold it.
- The provider’s own terms apply to the payment. Refunds, chargebacks and disputes are between you, the guest and the provider; the Service records the refunds you make.
- We do not see or store full card numbers or wallet credentials. An online payment is treated as collected only when the provider confirms it, or when your staff confirm it with the provider’s reference.
8.Fees and subscriptions
Trials, plans, fees, invoices, renewals, late payment, cancellation and refunds are covered by the Subscription and Billing Terms. Fees charged by payment providers, hardware suppliers or other third parties are separate and set by them.
9.Acceptable use
You must use the Service in line with the Acceptable Use Policy. In short: no unlawful use, no false invoices or tax evasion, no access to anyone else’s data, no attacks on or overloading of the Service, and no copying, reselling or reverse engineering it.
10.Your data
Your data is yours. Menus, orders, stock, invoices, reports, and the guest and staff records you put into the Service (“Customer Data”) belong to your business. You give us a non-exclusive licence to host, copy, process and display Customer Data only as needed to provide, secure and support the Service, and as the law requires. Personal data within it is governed by the Data Processing Addendum.
You are responsible for the accuracy, quality and legality of Customer Data, and you confirm that you have the rights and permissions needed for us to process it as these Terms describe.
We may compile aggregated, de-identified statistics about how the Service is used (for example, average kitchen ticket times) to operate and improve it. These statistics never identify your business, your staff or your guests, and we do not use Customer Data to train machine-learning models.
Getting your data out
While your account is active, owners can export sales and invoice registers and reports from the console as files. For anything the console does not export, write to us and we will provide a copy in a commonly used, machine-readable format. When your account ends, the return-and-deletion terms of the Data Processing Addendum apply: you can ask within 30 days for a copy, after which we delete or anonymise Customer Data, except records the law requires us to keep, such as tax invoices.
11.Confidentiality
Each of us may receive non-public information from the other: your Customer Data and business information on your side; our non-public product, security and commercial information on ours. The receiving party will use it only for the purposes of this agreement, share it only with people who need it and are bound by confidentiality, and protect it with at least reasonable care.
This does not apply to information that is or becomes public through no fault of the receiving party, that it already knew or received lawfully from someone else without restriction, or that it developed independently. Either party may disclose confidential information where the law, a court or a regulator requires it, after telling the other party where the law allows.
12.Availability, offline use and support
We work to keep the Service available and fast, and we publish live system status at /status. We do not promise that it will be uninterrupted or error-free. Planned maintenance is scheduled outside typical service hours where we can.
The point of sale is designed to keep taking orders on a device that loses its connection and to send them when the connection returns. Online ordering, QR ordering and online payments need a connection and are unavailable while the Service cannot be reached.
Specific service levels, response times or support hours apply only if they are written into your order form.
13.Third-party services
The Service works with services run by others: payment providers, the IRD’s CBMS, domain registrars for a custom restaurant website domain, printers and card terminals. You connect them with your own accounts and are responsible for keeping those accounts in good standing. Their own terms and privacy practices apply, and we are not responsible for their availability, accuracy or decisions to change or end their services.
The service providers we use to run DataRestro itself (such as hosting) are listed in the Data Processing Addendum, and we remain responsible for them.
14.Intellectual property and feedback
We and our licensors own the Service, its software, design and documentation, and the DataRestro name and marks. These Terms give you the right to use the Service described in section 4; they do not transfer ownership. You may not copy, modify, reverse engineer or build a competing product from the Service, except where the law expressly allows it.
You keep ownership of your content, such as your logo, photographs, menu text and website copy. You confirm you have the right to use it and give us a licence to host and display it in the Service and on your restaurant website for as long as you use them.
If you send us feedback or ideas, we may use them freely without obligation to you. Please do not send anything you consider confidential as feedback.
15.Disclaimers
Apart from what these Terms or your order form expressly say, the Service is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties such as merchantability, satisfactory quality, fitness for a particular purpose and non-infringement. Reports, totals and tax figures are calculated from the data and settings you enter; check them before relying on them for filings.
16.Limitation of liability
To the extent the law allows:
- neither party is liable to the other for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data that could have been restored from your own records;
- each party’s total liability arising out of or relating to the Service in any twelve-month period is limited to the fees you paid us for the Service in the twelve months before the event giving rise to the claim;
- we are not responsible for loss caused by information you entered (including prices, allergens and tax settings), by third-party services you connected, or by events beyond our reasonable control.
These limits do not apply to your obligation to pay fees, to either party’s breach of confidentiality, to fraud or wilful misconduct, or to any liability that cannot be limited by law, and they do not affect a guest’s rights under consumer protection law.
17.Claims from others
You will defend us against, and cover our reasonable costs and losses from, any third-party claim arising from Customer Data or content you put into the Service, or from your use of the Service in breach of these Terms or the law. We will tell you promptly about such a claim, let you control its defence, and cooperate reasonably; we will not settle it without your consent.
18.Suspension and ending the service
You can stop using the Service at any time, subject to any minimum term in your order form; how to cancel a subscription is in the Subscription and Billing Terms.
We may suspend a business, or end this agreement, if it materially breaches these Terms or the Acceptable Use Policy and does not put the breach right within a reasonable time after we tell it; immediately where the law requires it or where it is necessary to protect guests, other businesses or the Service; and for non-payment as the Subscription and Billing Terms describe. While a business is suspended its data is kept, and the owner can still sign in to see why and resolve it.
When the agreement ends, your right to use the Service ends, and the data return and deletion terms in section 10 apply. Sections that by their nature should survive, including those on data, confidentiality, intellectual property, liability, claims from others and law and disputes, continue to apply.
19.If you are a guest
When you view a menu, order at a table, order for pickup or delivery, pay, leave feedback or request a reservation, you are dealing with the restaurant, not with DataRestro. The restaurant sets the menu, prices, taxes, service charge and availability, prepares your food, and is responsible for your order, refunds and allergen information.
The total you are shown before you confirm is the amount the restaurant charges for that order, including tax and service charge. A reservation request is confirmed only when the restaurant accepts it. If you pay online, the payment is handled by the provider you choose, under its terms. For anything about your order, contact the restaurant. For how your personal data is handled, see the Privacy Policy.
20.Governing law and disputes
These Terms are governed by the laws of Nepal, including the Electronic Transactions Act 2063 (2008) for electronic records and acceptance. Before going to court, each of us will try to resolve a dispute in good faith by writing to the other and allowing 30 days for a response. If that does not resolve it, the courts of Nepal with jurisdiction in Kathmandu will decide it. Either party may seek urgent relief from any competent court to protect its intellectual property or confidential information.
Where the law of your country gives you rights that cannot be excluded by agreement, including consumer rights for guests, nothing in these Terms takes those rights away.
21.Changes to these terms
Each version of these Terms has a version number and an effective date, shown at the top of this page. We may update them as the Service and the law change.
If a change is material, we will tell account owners at least 30 days before it takes effect, unless the law requires it sooner, and ask the owner to accept the new version inside DataRestro. We do not treat continued use as acceptance of a material change. Staff can keep working while the owner reviews it. Changes that are not material, such as corrections or new contact details, take effect when published.
22.General
Notices. We send notices to the account owner’s email address or show them in the console. You send notices to support@datadoodlestech.com. Electronic notices and records satisfy any requirement for writing.
Events beyond control. Neither party is in breach for a delay caused by events beyond its reasonable control, such as natural disasters, epidemics, power or network failures, or government action, provided it tells the other party and resumes as soon as it reasonably can. This does not excuse payment.
Assignment. Neither party may transfer this agreement without the other’s consent, except to a successor in a merger, acquisition or sale of substantially all of the relevant business, who takes on the same obligations.
The whole agreement. The documents listed in section 1 are the entire agreement on their subject. If a provision is unenforceable, it is limited to the minimum extent necessary and the rest continues. Not enforcing a provision is not a waiver of it. The parties are independent contractors.
